How high should it be? Is it \u20ac58,000? Can it also be lower than that? Or should it, in some cases, be raised?<\/strong><\/p><p data-path-to-node=\"3\">If you own more than 5% of shares in a BV, you\u2019re a substantial interest holder. If you also work for this BV you\u2019re wearing two different hats. Firstly, because you\u2019re a shareholder which gives you the authority to participate in the decision-making process in the BV. And second, because you\u2019re an employee of the BV. The salary of the substantial interest holder is subject to the regulations for the compulsory salary.<\/p><\/li><li><p data-path-to-node=\"6,1,0\"><b data-path-to-node=\"6,1,0\" data-index-in-node=\"0\">Dividend payout.<\/b> This is a profit distribution. Theoretically, this is a fee for the capital you\u2019ve invested in the BV.<\/p><\/li><\/ul>                    <\/div>\n                                <\/div>\n            <\/div>\n        <\/section>\n        \t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-037d766 elementor-widget elementor-widget-Text\" data-id=\"037d766\" data-element_type=\"widget\" data-widget_type=\"Text.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t        <section class=\"text-widget widget-type-text widget columns-1 text-widget--narrow\">\n            <div id=\"\" class=\"deeplink-anchor\"><\/div>\n            <div class=\"container\">\n                <div class=\"row\">\n                    <div class=\"offset-md-1 col-md-10 offset-lg-2 col-lg-8 offset-xl-2 col-xl-8\">\n                        <div class=\"text-widget__text-wrapper rich-text d-block\">\n                            <div class=\"Block-Text-Component\"><div class=\"Layout-Wrap-Inner-Content-Center\"><h3 data-path-to-node=\"7\">Paying levies on dividend<\/h3><p data-path-to-node=\"8\">In most cases, both options will apply: you\u2019re the owner of the BV and you also work for the BV. When it comes to taxes, there\u2019s a big difference between the options of making money from the BV. In case of salary, you pay income tax (through payroll taxes), up to a 49.5% tax rate. When you opt to pay out dividends, you pay a total of 43.5% on this. This levy consists of several steps:<\/p><ul data-path-to-node=\"9\"><li><p data-path-to-node=\"9,0,0\">You first pay 19% corporation tax on the profit.<\/p><\/li><li><p data-path-to-node=\"9,1,0\">Then you pay 15% dividend tax on the gross dividend.<\/p><\/li><li><p data-path-to-node=\"9,2,0\">Finally, 24.5% (or 31% &gt; \u20ac 68.843) in income tax is taxed on the gross dividend, with a deduction of the dividend tax that has already been paid. This income is taxed in box 2. That\u2019s why Dutch tax legislation has determined a minimum amount of compulsory salary. The height of this salary is the highest of the following three amounts:<\/p><ul><li data-path-to-node=\"12,0,0\">100% of the salary of the most comparable employment.<\/li><li data-path-to-node=\"12,1,0\">The salary of the highest-earning employee of the company or of an affiliated company of the employer.<\/li><li data-path-to-node=\"12,2,0\">At least \u20ac58,000.<\/li><\/ul><p data-path-to-node=\"13\">Since you don\u2019t want to set the salary too high, because then the tax burden will rise, you must try to prove that the salary your BV is paying you is plausible. Of course, it\u2019s very difficult to determine which function is really comparable to the one you have within your BV.<\/p>                        <\/div>\n                    <\/div>\n                <\/div>\n            <\/div>\n        <\/section>\n        \t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-4dc9ca4 elementor-widget elementor-widget-Image tekst\" data-id=\"4dc9ca4\" data-element_type=\"widget\" data-widget_type=\"Image tekst.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t        <section class=\"image-text-widget  widget-type-text widget\">\n            <div class=\"container\">\n                <div class=\"row\">\n                                            <div class=\"col-12 offset-md-1 col-md-5 offset-lg-2 col-lg-4\">\n                            <p data-path-to-node=\"14\">For example: How to determine the salary of a lawyer? Your search will have to be very specific, because a lawyer with a year and half experience at a small firm who mainly works pro bono will never be at the same level as a lawyer who\u2019s the director of a large office at Amsterdam Zuidas, in terms of salary.<\/p><p data-path-to-node=\"15\">It\u2019s therefore really important to compare your specific situation with a paid employment that\u2019s comparable to your role within your BV. That\u2019s why we also recommend that you look for vacancies for functions that are comparable to your situation when determining your salary. In these cases, the salary can be lowered. Situations to which this can be relevant are:<\/span><\/p><ul data-path-to-node=\"18\"><li><p data-path-to-node=\"18,0,0\"><b data-path-to-node=\"18,0,0\" data-index-in-node=\"0\"><span class=\"citation-605 citation-606\">Parttime employment.<\/span><\/b><span class=\"citation-605 citation-606 citation-end-606\"> When you work parttime, you\u2019re not allowed to just randomly lower the salary. But if you can demonstrate that t<\/span><span class=\"citation-605 citation-end-605\">he wage in the most comparable employment and for the same number of hours worked is lower than \u20ac<\/span>58,<span class=\"citation-604 citation-end-604\">000, the salary may be set at a lower amount.<\/span><\/p><\/li><li><p data-path-to-node=\"18,1,0\"><b data-path-to-node=\"18,1,0\" data-index-in-node=\"0\"><span class=\"citation-603\">Compulsory salary is \u20ac5,000 or lower.<\/span><\/b><span class=\"citation-603 citation-end-603\"> If it\u2019s customary for the salary to be lower than \u20ac5,000, e.g. in a BV where virtually nothing happens, payroll taxes can be set a<\/span>t zero.<\/p><\/li><li><p data-path-to-node=\"18,2,0\"><b data-path-to-node=\"18,2,0\" data-index-in-node=\"0\"><span class=\"citation-602\">Company suffering losses.<\/span><\/b><span class=\"citation-602 citation-end-602\"> Under certain conditions, a company that suffers losses can lower the salary of the substantial interest holder. Again, this can\u2019t be lower than the statutory minimum wage that matches the number of hours you work for <\/span>the BV.<\/p><\/li><li><p data-path-to-node=\"18,3,0\"><b data-path-to-node=\"18,3,0\" data-index-in-node=\"0\">Start-ups.<\/b> In the past, a DGA of a start-up was allowed to adjust their salary downwards under certain conditions. This rule has been discontinued since 2023.<\/p><\/li><\/ul><p id=\"p-rc_70d856ae265a8671-71\" data-path-to-node=\"19\"><span class=\"citation-601 citation-end-601\">As you can see, there are quite a few rules regarding the height of the salary when you have shares in a BV.
